Terms Of Service

Welcome to SPINA ("SPINA," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of SPINA's website, games, and real-money services (the "Platform").
By creating an account or using SPINA, you confirm that you have read, understood, and agree to these Terms. If you do not agree, do not use the Platform.
1. About SPINA
SPINA, Inc. operates a skill-based, head-to-head real-money gaming platform for entertainment purposes. All matches are determined by player skill, not chance.

SPINA may assign this Agreement in connection with a merger, acquisition, or sale of assets without notice to you.
2. Eligibility
You must:
Be at least 18 years old
Be physically located in an Eligible State at the time of real-money play
Have a valid U.S. phone number and personal account
Not have been previously suspended or banned by SPINA
You are responsible for understanding and following all applicable laws. Accessing SPINA from outside eligible states for real-money play is prohibited.
You represent and warrant that participating in paid competitions is lawful in your jurisdiction. SPINA may restrict, suspend, void, or reverse matches and payouts if we determine, in our sole discretion, that play occurred in a jurisdiction where paid competitions are restricted. You authorize SPINA to withhold or recover any affected payouts.
Eligible U.S. States
Alabama, Alaska, Arizona, Arkansas, California, Connecticut, Delaware, Florida, Georgia, Illinois, Indiana, Iowa, Kentucky, Maine, Maryland, Massachusetts, Minnesota, Mississippi, Missouri, Montana, Nebraska, New Hampshire, New Mexico, New York, North Carolina, North Dakota, Ohio, Oklahoma, Oregon, Pennsylvania, Rhode Island, South Dakota, Tennessee, Texas, Utah, Vermont, Virginia, Washington, West Virginia, Wisconsin, and Wyoming.
SPINA may adjust the list of eligible states at any time. Playing from a restricted state may result in account suspension or forfeiture of balances.
3. Identity and Location Verification
To ensure fair play and compliance with law, SPINA may verify your identity ("KYC") and location. You agree that SPINA may collect and process:
Government-issued photo ID
Live selfie
Device-based GPS location
This information is used for identity confirmation, age verification, fraud prevention, and legal compliance. Refusal to verify may lead to account suspension or ineligibility to withdraw funds.
Identity verification may involve biometric identifiers or information (such as facial geometry). By completing verification, you acknowledge our Biometric Notice & Consent, which explains how biometric information is collected, used, stored, and deleted, and you provide written consent as required by law.
4. Gameplay and Skill
SPINA offers 1v1 head-to-head skill-based matches. Match outcomes are primarily determined by player skill; however, minor variances (e.g., network latency or device performance) may occur.
If a verified technical issue materially affects the outcome, SPINA may void the match and refund entry fees. No bots or randomization are involved in determining outcomes.
Entry fees and prize amounts are displayed before joining a match. By entering, you agree to pay the entry fee and accept SPINA's final result determination.
5. Game Fees and Prizes
SPINA charges a 10% platform fee on paid matches. Example: if the entry fee is $1.00, SPINA retains $0.10.
Remaining funds form the prize pool. Fees and prizes are always shown before a match begins.
In the event of a tie, both players receive their full wager back with no platform fees charged.
SPINA may refund or reverse fees if a match is canceled due to verified system error or compliance review.
6. Deposits, Funds, and Withdrawals
Deposits
Funds added to your SPINA wallet are for entry fees only and may not be transferred or withdrawn until used in play.
"Cash Balance" means user-deposited funds. "Bonus Credit" means promotional, non-withdrawable funds. Cash Balances may be withdrawn (less chargebacks or disputes).
Withdrawals
Winnings may be withdrawn after successful verification. Minimums, limits, and withdrawal timelines are shown in the app. SPINA may delay or withhold withdrawals during fraud or compliance reviews.
You are responsible for the accuracy of your withdrawal details and for reporting taxes on any winnings.
Accounts with no activity for twelve (12) months will be considered dormant. After reasonable notice, SPINA may escheat remaining Cash Balances per applicable law.
No Transfers
You may not transfer or sell funds or credits to other users. Intentional losing ("chip dumping") or collusive transfers will result in termination and forfeiture of funds.
You authorize SPINA and its payment partners to debit your payment method for entry fees, chargebacks, and reversals. SPINA may offset unpaid amounts against your wallet or future winnings.
7. Fair Play and Anti-Cheating
You agree not to engage in cheating, manipulation, or any unfair play. Prohibited actions include:
Using VPNs or masking location
Using bots, macros, or AI tools
Playing on emulators or tampered devices
Exploiting bugs or glitches
Colluding with other players
Submitting falsified scores or match data
Creating multiple accounts
Using fake or disposable phone numbers
SPINA may monitor gameplay and device data to detect cheating. Any violation may result in permanent account closure and forfeiture of funds.
8. Recording and Creator Content
By using SPINA, you acknowledge that matches may be recorded, streamed, or otherwise captured by players or creators for public or social use.
By participating, you consent to your gameplay, username, and in-game audio being captured in such content and released publicly. SPINA is not responsible for recordings, broadcasts, or content created by users or third parties.
9. User Conduct
You agree to use SPINA lawfully and respectfully. You may not:
Harass or threaten players or SPINA staff
Attempt to hack, modify, or reverse-engineer SPINA systems
Interfere with gameplay or scoring
Use SPINA for illegal, commercial, or exploitative purposes
SPINA may restrict, suspend, or terminate access for any violation or suspicious activity.
10. Data and Matchmaking
SPINA collects gameplay data (scores, timing, and performance metrics) to ensure fair matchmaking and detect cheating.
Aggregated or anonymized data may be used for analytics and platform improvement.

11. Refunds
Entry fees are final once a match begins. Refunds are only granted if:
A match fails to start due to system error
Verified cheating or malfunction affects the result
A match is canceled before play begins
SPINA will review refund requests in good faith and notify you of the outcome.
12. Risk and Responsibility
You play at your own risk. You are responsible for your internet connection, device performance, and power. Technical issues, lag, or disconnections do not qualify for refunds.
13. Disclaimer of Warranties
The Platform is provided "as is" and "as available." SPINA disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. SPINA does not guarantee uninterrupted or error-free operation.
Some jurisdictions do not allow the exclusion of implied warranties, so certain disclaimers may not apply.
14. Limitation of Liability
To the fullest extent allowed by law, SPINA and its affiliates will not be liable for indirect, incidental, special, or consequential damages — including lost winnings or data.
SPINA's total liability for any claim will not exceed the greater of $100 or the total fees you paid to SPINA in the past twelve (12) months.
Nothing limits liability for fraud, willful misconduct, gross negligence, or bodily injury, to the extent such limitation is prohibited by law.
15. Dispute Resolution and Arbitration
If you have an issue, contact hi@spina.app to attempt informal resolution.
If a dispute cannot be resolved informally, you and SPINA agree to binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. Arbitration will take place in Atlanta, Georgia, unless both parties agree otherwise.
The arbitrator — not a court — will decide all disputes relating to interpretation, enforceability, or scope of this clause. There is no jury trial in arbitration.
Certain small disputes may be brought in small-claims court instead of arbitration.
You may opt out of arbitration within 30 days of first accepting these Terms by emailing hi@spina.app with the subject line "Arbitration Opt-Out."
If arbitration is found unenforceable for a particular claim, that claim must be filed in a state or federal court located in Fulton County, Georgia.
16. Class Action Waiver
To the fullest extent permitted by law, you and SPINA agree that all claims and disputes must be brought individually and not as part of any class, collective, or representative action.
You agree not to participate in or seek to recover relief through any class, consolidated, or joint proceeding.
If this waiver is deemed unenforceable, Section 15 (Arbitration) will not apply to that claim, and it must instead be filed in court in Fulton County, Georgia.
17. Intellectual Property
All SPINA trademarks, logos, games, software, and content are owned by SPINA, Inc. and protected under applicable laws. You may not copy, modify, or distribute SPINA materials without written permission.
You retain ownership of your user-generated content but grant SPINA a limited license to use it solely for operating and promoting the Platform. You waive moral rights to the extent permitted by law.
18. Updates to These Terms
SPINA may modify these Terms periodically. We will provide notice of material updates via email or in-app notification. Continued use after the update date constitutes acceptance of the revised Terms.
